Terms of Service.

The terms governing membership and use of the Venta Society private membership platform.

Section I

Agreement to Terms

These Terms of Service (“Terms”) govern your application for membership and any use of the Venta Society platform, including our websites, mobile experiences, communications, and member services (collectively, the “Services”).

By submitting an application, accepting an offer of membership, or accessing any part of the Services, you agree to be bound by these Terms, our Privacy Policy, and our Community Guidelines. If you do not agree, you may not use the Services.

Section II

Membership Eligibility

Venta Society is a private membership platform for LGBTQ+ professionals, creatives, entrepreneurs, and leaders. To be eligible to apply, you must:

  • Be at least twenty-one (21) years of age.
  • Submit truthful, accurate, and complete application information.
  • Agree to uphold our Community Guidelines and these Terms.
  • Not be barred from membership under prior Society action or applicable law.

Membership is granted at the sole discretion of the Venta Society Membership Committee. Submission of an application does not guarantee admission.

Section III

Application & Approval Process

Each application is reviewed individually by our Membership Committee. Decisions consider professional standing, alignment with the Society’s values, contribution to chapter culture, and other factors at our discretion.

  • Applicants will receive an acknowledgment upon submission and a final decision via email.
  • We may request additional information, references, or verification before reaching a decision.
  • Decisions are final. We are not required to provide a specific reason for any outcome.
  • Approved applicants are extended a formal invitation to join and complete onboarding within the period stated in the invitation.
Section IV

Community Code of Conduct

As a condition of membership, you agree to embody the standards set out in our Community Guidelines. In particular, members shall not:

  • Harass, discriminate against, threaten, or harm any member, guest, partner, or House staff.
  • Out, expose, or disclose another member’s identity, presence, or content outside the Society without consent.
  • Solicit, prospect, recruit, or otherwise treat the Society as a sales channel.
  • Misrepresent identity, credentials, affiliations, or intentions.
  • Upload unlawful content or content that infringes another’s rights, dignity, or privacy.
  • Attempt to circumvent platform security, scrape member data, or interfere with the Services.
  • Bring the reputation of the Society into disrepute, online or in person.

Section V

User Responsibilities

You are responsible for:

  • Maintaining the confidentiality and security of your account credentials.
  • All activity that occurs under your account.
  • Ensuring the information on your profile remains accurate and current.
  • Obtaining all necessary rights and consents before posting any content depicting other people.
  • Respecting the privacy, identity, and discretion of fellow members at all times.

You must notify us immediately at security@ventasociety.com if you suspect unauthorized access to your account.

Section VI

Suspension & Termination

Membership is a privilege and may be suspended, revoked, or terminated at any time, with or without notice, if we determine that you:

  • Have violated these Terms, the Community Guidelines, or applicable law.
  • Misrepresented yourself in your application or on your profile.
  • Have caused or are likely to cause harm to other members, guests, partners, or the Society’s reputation.
  • Have failed to pay any membership dues, fees, or charges when due.
  • Have made the Society aware of conduct outside the platform that is incompatible with our standards.

You may terminate your membership at any time by notifying membership@ventasociety.com. Termination does not entitle you to a refund of fees already paid except as expressly provided in the Refund Policy below.

Section VII

Fees & Refund Policy

Where membership tiers, dues, or paid experiences are offered, pricing, billing cadence, and inclusions are presented at the point of enrollment or purchase. By completing a purchase, you authorize us, and our payment processor, to charge the payment method you provide.

  • Membership dues are non-refundable except where required by applicable law.
  • Annual memberships may be eligible for a pro-rated refund of unused months if cancelled within fourteen (14) days of the initial charge, at our discretion.
  • Paid events, experiences, and concierge bookings are subject to the cancellation terms disclosed at the time of booking.
  • If a member is terminated for cause under Section VI, no refund of any kind will be provided.

We may adjust fees at renewal with reasonable advance notice. Tax may be added where required.

Section VIII

Intellectual Property

The Venta Society name, marks, design system, written content, editorial, photography, member directory, and the Services as a whole are the exclusive property of Venta Society and its licensors, protected by intellectual property laws.

You retain ownership of content you submit to the Services (“Member Content”). By submitting Member Content, you grant Venta Society a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute that content solely for the purpose of operating and promoting the Services, in accordance with the audience settings you select.

You may not copy, redistribute, scrape, reverse engineer, or create derivative works of the Services or any other member’s content without express written permission.

Section IX

Third-Party Services & Links

The Services may integrate with or link to third-party services — authentication providers, payment processors, hosting platforms, email delivery, and analytics. Your use of those services may be governed by their own terms and privacy policies. We are not responsible for the content, practices, or availability of third-party services.

Section X

Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Venta Society disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected. Member introductions, recommendations, and connections are provided to facilitate community — you are solely responsible for your interactions with other members.

Section XI

Limitation of Liability

To the maximum extent permitted by law, Venta Society, its founders, officers, employees, contractors, and partners shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, revenue, data, goodwill, or reputational harm — arising out of or in connection with your use of the Services.

Our aggregate liability for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid to Venta Society in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Section XII

Indemnification

You agree to indemnify and hold harmless Venta Society and its founders, officers, employees, contractors, and partners from any claim, demand, loss, or liability — including reasonable legal fees — arising out of your use of the Services, your Member Content, your conduct toward other members, or your breach of these Terms.

Section XIII

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts. Nothing in this section limits either party from seeking injunctive relief to protect intellectual property or confidential information.

Section XIV

Changes to These Terms

These Terms are effective as of June 27, 2026. We may update them from time to time. Material changes will be communicated to members by email and posted here in advance of taking effect. Your continued use of the Services after such updates constitutes acceptance of the revised Terms.
